NATIONAL ASSOCIATION OF REGISTERED NURSE FIRST ASSISTANTS BYLAWS
ARTICLE I Name, Mission & Purpose
Section A. Name
- The official name of the organization is the National Association of Registered Nurse First Assistants, Inc., hereafter referred to as “NARNFA”.
Section B. Mission
- To raise public awareness of the RNFA role.
- To advance the goal of federal reimbursement for RNFA’s.
- To present educational programs specific to the RNFA role.
- To provide communication to the national RNFA population on any and all professional issues.
ARTICLE II Membership
Section A.
Membership is open to all who are interested in working towards the goals stated in our mission statement.
- Raise public awareness of the RNFA role.
- Pursue federal reimbursement for all RNFA’s in conjunction with The RNFA PAC.
- Present educational programs specific to RNFA needs.
- Communicate/ network with the national RNFA population on any and all professional issues.
- To promote and insure patient safety throughout the perioperative phase.
ARTICLE III Dues
Section A. Types of dues
- Dues will be $50.00 annually.
ARTICLE IV OFFICERS
Section A. Officers
The officers of NARNFA are:
- Chair – Serves as one year immediately following one year term as Chair-Elect
(exception to this is the year of inception which precludes the existence of a chair elect.)
- Chair-Elect – Elected annually for one year and immediately follows for one year as Chair
- Vice-Chair – Elected in even numbered years for a two year term
- Secretary – Elected in even numbered years for a two year term
- Treasurer – Elected in odd numbered years for a two year term
No officer may serve more than two consecutive terms.
Section B. Duties
- Chair
- Presides at all meetings.
- Serves as official representative of NARNFA
- Appoints committee members
- Chair-Elect
- Assists the Chair as delegated.
- Assumes the office of Chair at end of term.
- Vice-Chair
- Assists the Chair as delegated.
- Serves as Chair of Bylaws committee.
- Treasurer
- Receives and deposits money for the Council.
- Pays all bills
- Maintains financial records for fiscal year from April 1 to March 31.
- Presents an itemized report to the membership at the annual meeting.
- Secretary
- Keeps minutes of all proceedings of the Council and distributes, within 30 days, to officers (Chair, Chair-Elect, Vice-Chair, Treasurer)
- Keeps a record of all correspondence
- Maintains correspondence as directed by Council and/or Officers.
Section D. Eligibility for Office
- Any RN who is a NARNFA member may run for office.
ARTICLE V Elections
Section A. Officer Elections
- Election of officers shall be held annually.
- The active members of NARNFA shall elect officers.
- Voting shall be by secret ballot.
- Nominations may be taken from the floor.
- Voting may be electronic or paper.
- The deadline for early ballots shall be one week prior to the date of the annual meeting.
- A Tellers Committee, appointed by the Chair, will tabulate the votes.
- A plurality will elect.
Section B. Vacancies
- A vacancy in the office of Chair is filled by the Vice-Chairman. Vacancies in offices of Chair-Elect and Vice-Chair may be temporarily filled should they become vacant. The remaining officers will select a Council member to serve in this capacity until the regularly scheduled meeting, when the entire Council will vote on a member to fill the vacancy.
- Vacancies in offices of Treasurer and Secretary may be temporarily filled should they become vacant. The remaining officers will select a Council member to serve in this capacity until the regularly scheduled meeting, when the entire Council will vote on a member to fill the vacancy.
Article VI Meetings
Section A NARNFA MEETINGS
- There will be one scheduled business meeting each year. (Date and place to be decided by officers of NARNFA.)
- The Chair may call additional meetings as necessary.
- Roberts’ Rules of Order Revised shall govern the proceedings of NARNFA.
- One-third (1/3) of the NARNFA BOD/Officers shall constitute a quorum.
- NARNFA Board members and Committee Chairs, will be allotted $200 annually, for travel expenses contingent on budgetary availability.

ARTICLE VIII Amendments to Bylaws
Section A. Bylaws may be amended by majority of voting members.
- Proposed amendments will be posted on the website at least 30 days prior to a vote.
- Members will be notified of the website posting.
- Voting may be electronic or paper.
Section B. Amendments become effective immediately upon approval.
ARTICLE IX Distribution of assets on dissolution
Section A. Dissolution
- NARNFA may be dissolved by a resolution approved by majority of voting membership.
Section B. Funds
- At the time of dissolution all funds in the treasury will be donated to the RNFA PAC or other worthy endeavor as deemed appropriate by the board.
